Private placement — accredited investors only

Securities of Ganit Energy, when offered, are offered in reliance on the exemption from registration provided by Regulation D, Rule 506(b) under the U.S. Securities Act of 1933, exclusively to persons who qualify as accredited investors under Rule 501(a) of Regulation D. In general terms, an accredited investor is an individual with income exceeding $200,000 (or $300,000 jointly with a spouse or partner) in each of the two most recent years, or a net worth exceeding $1 million excluding the primary residence, or a holder of certain professional licences — or an entity meeting the rule's asset or ownership tests. The full definition in Rule 501(a) governs. Securities sold under this exemption are restricted securities: they have not been registered with the U.S. Securities and Exchange Commission, and they cannot be freely resold.

Cross-border regulatory framework

Ganit Energy operates a two-jurisdiction structure: a U.S. fund vehicle and a wholly-owned Indian operating subsidiary that holds project assets. On the Indian side, the structure operates within the frameworks administered by the Reserve Bank of India (RBI) and the Foreign Exchange Management Act (FEMA) — including prescribed reporting of foreign investment — together with the Companies Act and, where applicable, regulations of the Securities and Exchange Board of India (SEBI). The Indian subsidiary files all taxes and regulatory reports required in India.

The structure is designed so that U.S. investors are not required to register with, file with, or pay taxes to Indian authorities: Indian-side obligations are handled at the subsidiary level, and U.S. investors file only with the IRS, on distributions and capital gains received in U.S. dollars. This is a design objective of the structure, not tax advice — individual circumstances differ, and investors should confirm treatment with their own tax advisers.
